Terms & Conditions
These Terms and Conditions ("T&C" or "Terms") govern your access to and use of all products and services operated by WAGMI Game Co., a Delaware corporation with its principal office at 8924 E Pinnacle Peak Road, STE G5, Scottsdale, AZ 85255 ("Company," "we," "us," or "our"). This includes:
NiFe WARS: Last Defense — our mobile game application;
NiFe WARS digital properties — including nifewars.com, shop.nifewars.com, and associated content;
Physical collectibles — including comics, trading cards, toys, and limited-edition products bearing NFC authentication tags;
The Tacara COLLECT platform (tacara.io) — our NFC authentication, digital twin, and collector account service; and
All related content, features, NFTs, community platforms, and functionalities (collectively, the "Services").
By downloading, accessing, purchasing from, or otherwise using any of the Services, you agree to be bound by these Terms, our Privacy Policy, and (where applicable) our End User License Agreement (EULA). If you do not agree, you are prohibited from using the Services.
Eligibility
1.1 Age Requirement
You must be at least 13 years old to access, use, or create an account for any of the Services, in compliance with COPPA (15 U.S.C. §§ 6501–6506). If you are under 18, your parent or legal guardian must review and consent to these Terms on your behalf. Users under 13 are prohibited from using the Services.
1.2 Legal Capacity
You represent and warrant that you have the legal capacity to enter into these Terms and are not barred from using the Services under applicable laws, regulations, or sanctions (e.g., OFAC restrictions).
1.3 Geographic Restrictions
Access may be restricted in jurisdictions where our Services or NFT features are prohibited by law. It is your responsibility to ensure compliance with local regulations.
Account Registration and Security
2.1 Game Account (NiFe WARS: Last Defense)
Access to certain game features (e.g., NFT acquisition, multiplayer modes) requires a game account. You must provide accurate, current, and complete information during registration and promptly update it to maintain accuracy. Failure to do so may result in suspension or termination.
2.2 Tacara COLLECT Account
To access NFC authentication features, register tagged collectibles, and manage your digital collection through the Tacara COLLECT platform, you must create a COLLECT account. Registration requires:
Email address (required) — used for account verification, NFC tag registration confirmations, and platform communications;
Phone number (optional) — may be provided for enhanced account recovery or optional SMS notifications.
By creating a COLLECT account, you consent to the collection and use of this information as described in our Privacy Policy. You may opt out of non-essential communications at any time. We do not sell your personal information to third parties.
2.3 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. Notify us immediately at support@nifewars.com of any unauthorized access or security breach. We are not liable for losses resulting from your failure to secure your account.
2.4 Account Restrictions
You may not share, sell, or transfer your account to another person without our prior written consent. We may impose additional verification requirements to prevent fraud or abuse.
2.5 Suspension or Termination
We reserve the right to suspend, restrict, or terminate your account or access to the Services, with or without notice, for any reason, including violations of these Terms or suspected fraudulent activity, without liability to you.
Use of the Services
3.1 License
Your use of NiFe WARS: Last Defense is governed by the EULA, which grants a limited, revocable license for personal, non-commercial use, subject to these Terms.
3.2 Acceptable Use
You agree to use the Services solely for their intended purposes in a lawful and respectful manner.
3.3 Prohibited Conduct
You shall not:
Use cheats, hacks, bots, exploits, or unauthorized third-party software to alter gameplay or gain an unfair advantage;
Engage in harassment, bullying, threats, defamation, or abusive behavior toward other users, staff, or third parties;
Transmit viruses, malware, spyware, or any code designed to harm or disrupt the Services or users' systems;
Collect, scrape, or harvest personal information from other users without their explicit consent;
Impersonate any individual or entity, including WAGMI Game Co. employees, or misrepresent your identity;
Engage in fraudulent activities, such as payment fraud, account hacking, NFT manipulation, or NFC tag spoofing;
Violate any applicable laws, regulations, or third-party rights;
Interfere with or attempt to gain unauthorized access to the Services' servers, networks, or infrastructure;
Use the Services to facilitate illegal activities, including money laundering or unlicensed gambling.
3.4 Community Standards
Where the Services include chat, forums, or social features, you agree to adhere to our community guidelines, which prohibit offensive, discriminatory, or inappropriate content.
3.5 Enforcement
We may investigate suspected violations at our sole discretion and take any action deemed necessary, including removing content, issuing warnings, suspending or banning accounts, or pursuing legal remedies, without prior notice or liability.
Payments, Virtual Goods, NFTs, and Physical Collectibles
4.1 Fees
Certain features, virtual goods, NFTs, or physical collectibles require payment in fiat currency (e.g., USD). You agree to pay all applicable fees, taxes, and charges as displayed at the time of purchase, using only authorized payment methods.
4.2 Virtual Goods and NFTs
Virtual Goods: Items like in-game currencies or power-ups are licensed to you for use exclusively within NiFe WARS: Last Defense and have no monetary value outside it. They are not redeemable, transferable, or refundable except as required by law.
NFTs: Non-fungible tokens (e.g., collectible cards, characters) are blockchain-based assets you own upon acquisition. You may trade, sell, or transfer NFTs on compatible external platforms, subject to our retained intellectual property rights in the underlying content. We do not guarantee their value, liquidity, or continued functionality within or outside the game.
4.3 Physical Collectibles with NFC Authentication
Certain physical products — including comic books, trading cards, and limited-edition collectibles — may include an embedded Near Field Communication (NFC) tag provided through the Tacara platform. These tags:
Serve solely as authenticity verification tools, confirming that a physical item is an official WAGMI Game Co. / NiFe WARS product;
Are linked to a unique digital record ("digital twin") accessible through your COLLECT account;
Do not track the physical location of any item;
Do not transmit data when not actively scanned by a compatible device.

4.4 All Sales Final
All purchases of physical and digital products are final and non-refundable, except where mandatory under applicable law (e.g., EU 14-day withdrawal right under Directive 2011/83/EU, if not waived by immediate use).
4.5 Modifications
We may modify, suspend, or remove virtual goods or NFTs at our discretion, without liability, provided your ownership of NFTs remains on the blockchain.
4.6 Risks
You acknowledge and accept all risks associated with virtual goods, NFTs, and physical collectibles, including market value changes, technological obsolescence, and physical damage or loss.
4.7 Payment Disputes
You must resolve payment disputes directly with third-party payment processors; we are not responsible for their errors or policies.
Intellectual Property
5.1 Ownership
All content, including code, graphics, audio, text, virtual goods, NFTs, NFC-linked digital twins, and related materials, is owned by WAGMI Game Co. or its licensors and protected by U.S. and international intellectual property laws (e.g., Copyright Act, 17 U.S.C.; Lanham Act, 15 U.S.C.).
5.2 User Content
You grant us a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to use, reproduce, modify, distribute, and create derivative works of any content you create, upload, or submit via the Services, for any purpose related to our operations, subject to our Privacy Policy.
5.3 Trademarks
"WAGMI Game Co.," "NiFe WARS," "NiFe WARS: Last Defense," "Tacara," "COLLECT," and associated logos are trademarks of WAGMI Game Co. You may not use them without prior written permission.
5.4 Infringement Claims
If you believe your intellectual property rights are infringed within the Services, submit a detailed notice to support@nifewars.com per the DMCA (17 U.S.C. § 512).
Termination
6.1 By You
You may terminate these Terms by ceasing all use of the Services and closing your accounts by contacting support@nifewars.com.
6.2 By Us
We may terminate or suspend your access to the Services, with or without notice, for any reason, including breach of these Terms, without liability.
6.3 Effect of Termination
Upon termination, your rights to access the Services cease. NFT ownership persists on the blockchain per Section 4.2. COLLECT account data may be retained as required by law or our Privacy Policy. Sections 4.2, 4.5, 5, 6.3, 7, 8, 9, 10, 11, and 12.4 survive termination indefinitely.
6.4 No Refunds
Termination does not entitle you to refunds, except as required by law.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ANY GUARANTEE REGARDING THE VALUE, PERFORMANCE, OR AVAILABILITY OF NFTS, BLOCKCHAIN INTEGRATIONS, PHYSICAL COLLECTIBLES, NFC TAG FUNCTIONALITY, OR THE TACARA COLLECT PLATFORM.
Limitation of Liability
8.1 General Exclusion
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAGMI GAME CO., ITS AFFILIATES, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, USE, OR NFT VALUE, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF SUCH DAMAGES, REGARDLESS OF THE LEGAL THEORY.
8.2 NFC Tags — No Liability for Lost or Stolen Items
NFC tags embedded in our physical collectibles are authenticity verification tools only. They are not tracking devices and do not record, transmit, or store information about the physical location or current possessor of any tagged item. Accordingly:
WAGMI Game Co. bears no responsibility for the loss, theft, destruction, or unauthorized transfer of any NFC-tagged physical collectible;
A registered NFC tag does not serve as proof of possession, legal title, or right to ownership of a physical item in any dispute;
We are not law enforcement and have no ability to track or recover lost or stolen tagged items;
If your tagged collectible is lost or stolen, you remain solely responsible. We recommend keeping tagged items securely and retaining purchase documentation for insurance purposes.
8.3 Cap
Our total liability is limited to the greater of your payments to us in the past 12 months or $100 USD.
8.4 Exceptions
Some jurisdictions do not allow certain exclusions; limitations apply to the fullest extent enforceable.
Indemnification
You agree to indemnify, defend, and hold harmless WAGMI Game Co., its affiliates, and their officers, directors, employees, and agents from claims, damages, or expenses (including attorneys' fees) arising from your use of the Services, breach of these Terms, or violation of laws or third-party rights, with us retaining the right to control defense at our expense.
. Governing Law and Dispute Resolution
10.1 Governing Law
These Terms are governed by Delaware law, excluding conflict of law rules, and applicable U.S. federal law.
10.2 Arbitration
Disputes shall be resolved by binding arbitration under AAA Commercial Rules in Wilmington, Delaware, unless you opt out within 30 days by emailing support@nifewars.com. Arbitration is individual; class actions are waived.
10.3 Exceptions
Injunctive relief for intellectual property violations or small claims may be pursued in court.
. Miscellaneous
11.1 Entire Agreement
These Terms, the EULA, and Privacy Policy constitute the full agreement, superseding prior agreements.
11.2 Amendments
We may update these Terms, effective upon posting or notice. Continued use signifies acceptance.
11.3 Severability
Invalid provisions are reformed; others remain enforceable.
11.4 Waiver
No waiver is effective unless in writing.
11.5 Force Majeure
We are not liable for delays beyond our control (e.g., natural disasters, blockchain failures, supply chain disruptions).
11.6 Assignment
You may not assign your rights without consent; we may assign freely.
11.7 Notices
Notices may be sent via email, platform notifications, or to support@nifewars.com.
11.8 Export Compliance
You must comply with all applicable U.S. export laws.

. Tacara COLLECT Platform & NFC Authentication
12.1 What is Tacara COLLECT?
Tacara (tacara.io) is an NFC authentication, digital twin, and collector account platform operated by WAGMI Game Co. NiFe WARS is the primary brand powered by Tacara. Your COLLECT account allows you to scan, register, and manage NFC-tagged NiFe WARS collectibles and access their associated digital records.
12.2 How NFC Authentication Works
Each NFC-tagged collectible contains a unique, tamper-evident chip. When scanned by a compatible NFC-enabled device:
The chip transmits a unique identifier to our servers to verify the item's authenticity against our product registry;
If authenticated, your COLLECT account can associate that item with your registered collection (your "digital twin" record);
The scan confirms only that the physical item is a genuine WAGMI Game Co. / NiFe WARS product — nothing more.
12.3 What NFC Tags Do NOT Do
NFC tags embedded in our products are strictly authenticity verification tools. They are not tracking devices. Specifically:
NFC tags do NOT transmit GPS coordinates, location data, or movement history;
NFC tags do NOT continuously broadcast any signal — they are passive and only activate when deliberately scanned by a compatible device held in close proximity (typically within a few centimeters);
NFC tags do NOT identify or store information about the person scanning them beyond what is provided through your voluntary COLLECT account login;
NFC tag registration does NOT confer legal title, proof of purchase, or right to possession of a physical item — it is a record of authenticity only;
We are not law enforcement and have no ability to track, locate, or recover physical items in the event of loss or theft, regardless of NFC registration status.
12.4 Data Collected Through COLLECT
When you create a COLLECT account and register tagged items, we collect:
Email address (required) — for account management and communications;
Phone number (optional) — for account recovery or SMS notifications if you choose to provide it;
Scan events — timestamp and item identifier when you scan a tag via your account;
Collection records — the items you have registered to your account.
We do not collect biometric data, financial information, or physical location data through the COLLECT platform. All data handling is governed by our Privacy Policy.
12.5 No Liability for Lost or Stolen Tagged Collectibles
WAGMI Game Co. expressly disclaims all liability for the loss, theft, destruction, or unauthorized transfer of any NFC-tagged physical collectible. NFC registration is not insurance and does not guarantee recovery of lost or stolen items. If your tagged item is lost or stolen, you should contact appropriate local authorities. We will not and cannot assist in recovery efforts, as we have no real-time knowledge of item location or current possession.
12.6 Deactivation
If you close your COLLECT account, your digital twin records will be disassociated from your profile. The physical NFC tag will remain functional for authenticity scanning but will no longer be linked to a registered collector account unless re-registered by a subsequent owner.
